Restructuring of the Board, Nomination of New Officers, Acquisition of New Properties

Matamec Explorations Inc. is pleased to announce changes of the Board of Directors of the Company and the nomination of two new Officers. The Directors of the Company are: Paul-A. Girard Aline Leclerc, geologist André Godbout, mining engineer Dominique Moreau Jean Lavallée, geologist Michel Robert, mining engineer Jean-Raymond Lavallée The Officers of the Company are : André Godbout, President and Chief Executive Officer Aline Leclerc, Vice-President Exploration André Gauthier, Vice-President Administration and Secretary-Treasurer Stock options valid for a period of five years, exercisable at a price of $0.11 have been granted to the new Directors and Officers, as follows : 200,000 options for each André Godbout, André Gauthier and Aline Leclerc ; 140,000 options for each Dominique Moreau and Paul-A. Girard. NEW PROPERTIES Matamec has negotiated the purchase of a 100% interest in four properties, namely the Valmont and Vulcain properties from Mr. André Gauthier, and the Zeus and Tansim properties of Mistassini Resources Inc., on the following terms, subject to the approval of the Regulatory Authorities: • 1,500,000 shares upon transfer of ownership ; • a minimum of 300,000 shares and a maximum of 700,000 shares (based on pro rata of properties held by Matamec) on September 30, 2005 ; • 1,000,000 warrants good for one share exercisable in four blocks of 250,000 warrants each at a price of $0.25, $0.40, $0.50, $0.75 over a period of 48 months ; • a Net Smelter Return royalty of 1% to 1.25%, re-purchasable by the Company. Valmont Property : The 2,030 hectares property is located near the Devonian granitic intrusion of the McGerrigle Mountains in Gaspesia (Quebec). Multiples mineralized showings are located on the property, notably on the E-W structures of the former Candego Mine and in the NE-SW mineralized structures where a series of sigmoid tension fractures and in-echelon veins have given positive results. Vulcain Property : The 3,181 hectares property in the Upper Laurentian area of Quebec, is located on the Renzy Shear Zone where ultramafic formation have intruded paragneiss of the Grenville geological province. Sills of 10m to 300m width with strike length of up to 3 km have been observed in many areas. All the exploration works carried out since 1955 indicate the potential for other nickel cobalt PGM deposits. Zeus Property : The 600 hectares property is located in the Kipawa Alkaline Complex of the Grenville geological province in Temiscaming, Quebec. Pegmatitic veins and lenses are also located within the Alkaline Complex. The property is located on the Southern contact of the Alkaline Syenite where significant mineralization of Zirconium and Yttrium have been encountered over an area of 1,300m by 10m to 30m along this contact. Additional exploration is required to determine the potential in rare metals and rare earths of this property. Tansim Property : The 64 hectares property is located on the north side of Lake Simard (Quebec) and covers a Lithium Tantalum and Niobium anomaly. The anomaly consists in a series of outcrops on three complex pegmatite dykes up to 200m in length and 30m in width. The exploration to date has been limited, but the quality of the anomaly merits further investigation. The present geological information has been verified by Aline Leclerc, geologist and Vice-President Exploration. Mrs. Leclerc has more 20 years of experience in geology as consultant with numerous exploration companies.
